Merchant Terms
These Merchant Terms set out the commercial conditions for businesses that use Orbipay's localized checkout. They complement our general Terms of Service and any signed commercial agreement. By enabling Orbipay on your store, you accept these terms.
Scope of the service
Orbipay provides localized checkout presentment: we display the right local payment methods, present prices in the shopper's currency, and translate the payment flow. We connect to the payment processors you already use. We do not acquire, hold, or settle funds — that remains the role of your own processors and the relevant local payment schemes.
Onboarding and KYC
Before going live, you and the relevant payment service providers may need to complete onboarding and Know Your Customer (KYC) checks. These checks are run by the PSPs and acquirers under their own requirements. You agree to provide accurate, complete, and up-to-date information, and you understand that approval to process payments rests with those providers.
Fees and billing
Fees for the Orbipay service are set out in your commercial agreement and summarized on our pricing page. They are billed on the cycle stated there. Processing fees, scheme fees, and any FX costs charged by your payment providers are separate from Orbipay's fees and are settled directly with those providers.
Currency presentment versus settlement
Shoppers see and pay in their local currency through the presentment we provide. Settlement — the actual movement and conversion of funds into your account — is performed by your own processor under its terms, including any FX handling and settlement currency it applies. You remain responsible for configuring presentment rates and any markup you choose to display, and these stay under your control.
Refunds and chargebacks
Refunds, reversals, and chargebacks are handled through your payment processor and the relevant scheme rules, not by Orbipay. You are responsible for your refund policy and for responding to disputes. We will provide reasonable presentment-related information to help you manage them where we can.
Merchant obligations
As a merchant using Orbipay, you agree to:
- Display accurate pricing, taxes, and any applicable fees to shoppers.
- Comply with applicable laws, consumer-protection rules, and the operating rules of the payment schemes you accept.
- Maintain a clear refund and dispute policy and honor it.
- Keep your account information and processor configurations accurate and current.
- Not use the service for prohibited, fraudulent, or unlawful activity.
Term and termination
These terms apply for as long as you use the service. Either party may terminate in line with the notice provisions in your commercial agreement. We may suspend or terminate access if you materially breach these terms, if a payment provider withdraws approval, or where required by law or scheme rules.
Liability
To the maximum extent permitted by law, Orbipay is not liable for the acts or omissions of your payment processors or local schemes, for settlement outcomes, or for indirect or consequential losses. Our total liability is limited as set out in your commercial agreement. Nothing here excludes liability that cannot be excluded by law.
Governing law
These Merchant Terms are governed by the law at the seat of the contracting entity, [Legal entity — pending], [Address — pending]. The specific governing law and competent courts will be confirmed in your commercial agreement.
